These Terms govern use of kyroshq.com and the Kyros Services. Clients also sign an Order Form that controls plan-specific details and incorporates these Terms by reference.

Agreement & acceptance

  • Kyros AI LLC operates kyroshq.com and provides the Services described in these Terms. These Terms form a binding agreement between Kyros AI LLC and anyone who uses the Website or Services.
  • You accept these Terms by using the Website, signing an Order Form, or using the Services. Clients also sign an Order Form that specifies the applicable plan, locations, and services; that Order Form incorporates these Terms by reference.

Definitions

  • “Kyros,” “we,” “our,” and “us” mean Kyros AI LLC.
  • “Services” means the managed AI employee service, website tools, alerts, reporting, Portal access, and related support we provide.
  • “Neo” means the AI employee deployed on a Client website or on kyroshq.com.
  • “Client” means a business that subscribes to the Services.
  • “Visitor” or “End User” means a person who uses the Website or interacts with Neo on a Client website.
  • “Lead Data” means contact details, questions, conversation content, booking details, and related information submitted by Visitors.
  • “Portal” means any dashboard, report, or account area made available to Clients.
  • “Order Form” means a written or electronic order, checkout, or onboarding document accepted by a Client.
  • “Website” means kyroshq.com and pages operated by Kyros.

The Services

  • Kyros provides a managed service that deploys Neo on the Client’s website to answer visitor questions, capture leads, deliver booking links, send alerts, request reviews after bookings, and provide monthly reports.
  • The Services are managed for the Client. Kyros configures and operates the system on the Client’s behalf; the Client is not required to run the backend.
  • Services vary by plan, including Standard, Premium, and Enterprise offerings. The Order Form controls what a specific Client receives.
  • Availability, accuracy, and outcomes depend on factors outside Kyros’s control. Kyros does not guarantee lead volume, booking rates, response times, revenue, or any specific result.

Eligibility & account access

  • Users must be at least 18 years old and able to form a contract. A Client must be a legitimate business.
  • Clients are responsible for safeguarding Portal login credentials and for all activity under their accounts.
  • Clients must provide accurate business information during onboarding and keep that information current.

Fees, billing & payment

  • Fees are shown on the Plans page or in the Order Form. A setup fee plus a recurring monthly subscription apply according to the Client’s selected plan.
  • The setup fee and first month are due before activation. Monthly fees recur and auto-renew until canceled. If annual billing is offered and selected, the applicable annual billing terms will appear on the Order Form.
  • Payments are handled by a third-party payment processor. By subscribing, the Client authorizes recurring charges.
  • Taxes are the Client’s responsibility. Late or failed payment may result in the Services being paused or suspended until resolved.
  • Reversing a valid charge through a chargeback is a breach of these Terms and may result in suspension.

Term, renewal & cancellation

  • Subscriptions are month-to-month unless the Order Form states otherwise, and they auto-renew each billing cycle.
  • A Client may cancel by sending written notice to hello@kyroshq.com. Cancellation is effective at the end of the current paid period.
  • When cancellation takes effect, Neo is removed from the Client’s site, Portal access ends, and the Services stop.
  • Setup fees are non-refundable. Monthly fees are non-refundable once a billing cycle begins. There are no partial-month refunds.

Client responsibilities & acceptable use

  • Clients are solely responsible for how they use Lead Data and for contacting or marketing to leads in compliance with applicable consent, telemarketing, and email rules.
  • Clients represent that they have the right to place Neo on their websites and to provide content for Neo’s knowledge base.
  • Clients may not use the Services for unlawful activity, harassment, spam, collection of sensitive data Neo is not meant to collect, reverse engineering, reselling, or interference with Kyros systems.
  • Clients are responsible for their own industry rules, including health, medical, professional-licensing, advertising, or other regulations. Kyros is not responsible for the Client’s compliance obligations.

Messaging & SMS terms

  • If SMS is enabled, messages are sent through Kyros’s registered messaging on the Client’s behalf.
  • SMS is sent only to recipients who have given the required consent. The Client is responsible for lawful consent for any numbers or lists it supplies.
  • Where phone numbers are collected, recipient-facing language should disclose that message frequency varies, message and data rates may apply, and recipients can reply STOP to opt out or HELP for help.
  • Kyros does not sell or share mobile opt-in or consent data with third parties for their own marketing.
  • Compliance is shared: Kyros operates the sending and honors opt-outs; the Client is responsible for the underlying consent and the content it directs.

Intellectual property

  • Kyros owns Neo, the software, the Portal, templates, underlying technology, and Kyros branding. No ownership transfers to the Client.
  • During an active subscription, the Client receives a limited, non-exclusive, non-transferable license to use the Services and Portal.
  • The Client owns the business content it supplies and its own Lead Data, and grants Kyros a license to use that content as needed to operate the Services.
  • Kyros may use feedback provided by the Client without restriction.

Data & privacy

  • The Privacy Policy is incorporated into these Terms by reference.
  • For Lead Data collected from a Client’s Visitors, the Client is the controller or business, and Kyros acts as a service provider or processor operating on the Client’s instructions.
  • Kyros processes personal data only to provide the Services and as described in the Privacy Policy.
  • A short Data Processing Addendum may be attached to the Order Form to address controller-processor obligations under Indiana and other state privacy laws.

AI-generated content disclaimer

  • Neo is automated. Responses are AI-generated and may be inaccurate, incomplete, or unexpected.
  • Neo does not provide professional, medical, legal, or financial advice. Nothing Neo says is a professional opinion or a binding quote unless the Client confirms it.
  • The Client is responsible for reviewing and standing behind the information it loads into Neo’s knowledge base.
  • Visitors should not rely on Neo for professional advice and should not submit sensitive personal or health information.

Third-party services

  • The Services rely on third-party infrastructure, including hosting, communications, payments, scheduling, and related service functions.
  • Kyros is not responsible for outages, changes, or acts of those third parties, or for the Client’s own website, platforms, or systems.

Disclaimers

  • The Services are provided “as is” and “as available,” without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free operation.
  • Kyros does not warrant that Neo or the Services will meet every requirement or produce particular results.

Limitation of liability

  • Kyros is not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost leads, lost revenue, or business interruption.
  • To the fullest extent permitted by law, Kyros’s aggregate liability is capped at the total amounts the Client paid Kyros in the 12 months before the claim.

Indemnification

The Client agrees to indemnify and hold Kyros harmless from claims arising out of the Client’s use of the Services or Lead Data, Client content, breach of these Terms, or violation of law, including messaging consent rules and industry regulations.

Suspension & termination

  • Kyros may suspend or terminate access for non-payment, breach of these Terms, unlawful use, or risk to Kyros systems.
  • On termination, the Client’s license and access end. Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, and other provisions intended to survive will continue.

Modifications

Kyros may update the Services, plans, pricing, and these Terms. Material changes will be posted with a new effective date, and continued use means acceptance. A paid period will not be repriced mid-cycle.

Governing law & disputes

  • These Terms are governed by the laws of the State of Indiana. Venue is in the state or federal courts located in Hamilton County, Indiana.
  • Before filing a dispute, the user agrees to contact Kyros and attempt to resolve the issue informally.

General

  • These Terms, the Order Form, and the Privacy Policy form the entire agreement. If there is a conflict, the Order Form controls for plan-specific terms, followed by these Terms and then the Privacy Policy.
  • If any part is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
  • The Client may not assign its rights without consent. Kyros may assign its rights as part of a merger, acquisition, reorganization, or transfer of business.
  • Kyros is not responsible for delays caused by events outside its reasonable control. Notices should be sent to hello@kyroshq.com. The parties are independent contractors, and these Terms do not create a partnership, joint venture, or agency.
